Bruxelles/Salzgitter, le 26 septembre 2022 - Umicore et PowerCo, la nouvelle société de batteries du groupe Volkswagen, ont annoncé aujourd'hui la création d'une coentreprise pour la production de matériaux précurseurs et cathodiques en Europe. À partir de 2025, la coentreprise approvisionnera les usines européennes de cellules de batteries de PowerCo en matériaux clés. Les partenaires ont pour objectif de produire d'ici la fin de la décennie des matériaux cathodiques et leurs précurseurs pour une capacité de 160 GWh de cellules par an, ce qui correspond à une capacité de production annuelle capable d'alimenter environ 2,2 millions de véhicules tout électriques. Les matériaux cathodiques actifs sont essentiels à la réussite de la transition des groupes motopropulseurs vers l'e-mobilité, car ils constituent le principal levier technologique pour les performances des batteries, ainsi que le principal facteur contribuant au coût global des batteries.
Le partenariat à long terme comprend la production de matériaux précurseurs et cathodiques en Europe, qui sont des matériaux de départ d'une importance stratégique et essentiels à la création de valeur des batteries. En outre, Umicore et PowerCo collaboreront à l'approvisionnement durable et responsable en matières premières, un domaine dans lequel Umicore est un leader industriel. Enfin, Umicore fournira des services de raffinage à PowerCo et les deux partenaires ont l'intention d'inclure à un stade ultérieur, dans le cadre de la coentreprise, des éléments de raffinage et de recyclage des batteries basés sur la technologie et le savoir-faire d'Umicore.

Thomas Schmall, membre du conseil d'administration du groupe Volkswagen AG chargé de la technologie et président du conseil de surveillance de PowerCo SE, a déclaré à l'occasion de la signature de l'accord de coentreprise : « Le matériau cathodique est une ressource stratégique indispensable pour la production de batteries, représentant environ 50 % de la valeur totale des cellules. L'accès immédiat et à long terme à une vaste capacité constitue donc un avantage concurrentiel très clair. Nous mettons en place une chaîne d'approvisionnement durable et transparente avec des normes environnementales et sociales élevées, en localisant la création de valeur ici en Europe. »
La production de la coentreprise devrait commencer en 2025 pour alimenter l'usine PowerCo de Salzgitter et atteindre une capacité annuelle de 40 GWh en 2026. Les deux partenaires ont pour objectif de porter la capacité de production annuelle de l'entreprise commune à 160 GWh d'ici la fin de la décennie, en fonction de l'évolution du marché et de la demande. La recherche d'un site de production est toujours en cours.
Selon les termes de l'accord, les deux partenaires contrôleront conjointement la coentreprise et partageront à égalité les coûts, les investissements, les revenus et les bénéfices. La coentreprise donnera aux deux partenaires un avantage significatif de premier arrivé sur le marché en croissance rapide de la mobilité électrique en Europe. Ensemble, ils prévoient d'investir 3 milliards d'euros dans de nouvelles capacités de production de matériaux.
Le partenariat fournira à Umicore un accès sécurisé, par le biais d'engagements fermes d'achat ou de paiement, à une partie importante de la demande européenne de matériaux cathodiques pour véhicules électriques en garantissant des rendements créateurs de valeur. Il assurera à PowerCo un accès sécurisé et compétitif significatif, à des matériaux de batterie haute performance innovants, issus de sources durables et sur mesure d'Umicore pour sa stratégie de cellules unifiées en Europe. Cela permettra à PowerCo de bénéficier des capacités de production reconnues d'Umicore ainsi que de son savoir-faire en amont.
La coentreprise est conçue pour répondre aux critères de rentabilité et de rendement des deux partenaires et permettra à chaque partie de dégager des synergies et des économies d'échelle significatives. La propriété intellectuelle et le savoir-faire d'Umicore seront mis à la disposition de la coentreprise par le biais d'un accord de licence afin de garantir sa position de leader technologique.

L'industrie des fournisseurs de produits préliminaires à l'échelle requise n'existe pas encore aujourd'hui. Nous sommes en train de changer cela grâce à notre coopération à long terme avec Umicore, leader mondial du marché des matériaux clés utilisés dans la production des cellules. »

Brussel/Salzgitter, 26 september 2022 - Umicore en PowerCo, het nieuwe batterijbedrijf van Volkswagen Groep, kondigden vandaag de oprichting aan van een joint venture voor de productie van precursor- en kathodematerialen in Europa. Vanaf 2025 zal de joint venture de Europese batterijcelfabrieken van PowerCo voorzien van deze kritieke materialen. De partners streven ernaar om tegen het einde van het decennium voor 160 GWh celcapaciteit per jaar kathodematerialen en hun precursoren te produceren, wat neerkomt op een jaarlijkse productiecapaciteit goed voor ongeveer 2,2 miljoen volledig elektrische wagens. Actieve kathodematerialen zijn van cruciaal belang voor een succesvolle overgang naar e-mobiliteit aangezien zij de belangrijkste technologische hefboom zijn voor de eindprestaties van een batterij en het grootste deel van de totale batterijkosten vertegenwoordigen.
Deze langetermijnsamenwerking omvat de productie van precursor- en kathodematerialen in Europa, strategisch belangrijke componenten voor de waardecreatie van batterijen. Daarnaast zullen Umicore en PowerCo samenwerken op het vlak van duurzame en verantwoorde bevoorrading van grondstoffen, een domein waarin Umicore leider is in haar industrie. Tenslotte zal Umicore raffinagediensten bieden aan PowerCo en streven beide partners ernaar om in een later stadium elementen van raffinage en recyclage van batterijen, gebaseerd op de technologie en knowhow van Umicore, in het kader van de joint venture op te nemen.

Wij zetten een duurzame, transparante toeleveringsketen op met hoge milieu- en sociale normen, waarbij de waarde-creatie hier in Europa wordt gelokaliseerd."
De productie van de joint venture zal naar verwachting in 2025 van start gaan om de fabriek van PowerCo in Salzgitter te bevoorraden en zal in 2026 een jaarlijkse capaciteit van 40 GWh bereiken. Beide partners streven ernaar om de jaarlijkse productiecapaciteit van de joint venture uit te breiden tot 160 GWh tegen het einde van het decennium, al naargelang de ontwikkeling van de markt en de vraag. De ideale productielocatie wordt momenteel nog bepaald.
Volgens de voorwaarden van de overeenkomst zullen beide partners gezamenlijk zeggenschap hebben over de joint venture en zullen zij kosten, investeringen, inkomsten en winst in gelijke mate delen. De joint venture zal beide partners een aanzienlijk voordeel bieden als eerste speler op de snelgroeiende markt voor e-mobiliteit in Europa. Samen zijn zij van plan ongeveer € 3 miljard te investeren in nieuwe productiecapaciteit voor batterijmaterialen.
Het partnerschap zal Umicore gewaarborgde toegang verschaffen, via vaststaande “take or pay”-verbintenissen, tot een belangrijk deel van de Europese vraag naar kathodematerialen voor EV en dit aan gegarandeerd waarde-creërend rendement. Het zal PowerCo op aanzienlijke schaal veilige en concurrentiële toegang verschaffen tot de innovatieve, duurzame en op maat gemaakte hoog-performante batterijmaterialen van Umicore voor haar uniforme batterijcellen in Europa. Het zal PowerCo ook in staat stellen te profiteren van de bewezen productievaardigheden van Umicore en haar expertise stroomopwaarts in de waardeketen.
De joint venture werd ontworpen om te voldoen aan de winst -en rentabiliteitscriteria van beide partners en zal voor beide partijen aanzienlijke synergiën en schaalvoordelen opleveren. Umicore’s intellectuele eigendom en knowhow zullen via een licentieovereenkomst ter beschikking worden gesteld aan de joint venture om haar leidende technologische positie te verzekeren.

Brussels/Salzgitter, 26 September 2022 – Umicore and PowerCo, the new battery company of the Volkswagen Group, announced today the founding of a joint venture for precursor and cathode material production in Europe. From 2025 onwards, the joint venture will supply PowerCo's European battery cell factories with key materials. The partners aim to produce by the end of the decade cathode materials and their precursors for 160 GWh cell capacity per year, which compares to an annual production capacity capable of powering about 2.2 million full electric vehicles. Cathode active materials are crucial for a successful powertrain transition towards e-mobility as they are the key technological lever for battery performance, as well as the biggest single contributor to overall battery cost.
The long-term partnership includes the production of precursor and cathode materials in Europe, which are strategically important input materials central to battery value creation. In addition, Umicore and PowerCo will collaborate on the sustainable and responsible sourcing of raw materials, an area in which Umicore is an industry leader. Finally, Umicore will be providing refining services to PowerCo and both partners aim to include, at a later stage, elements of refining and battery recycling based on Umicore’s technology and know-how into the scope of the JV.

Immediate and long-term access to extensive capacity is thus a very clear competitive advantage. We are setting up a sustainable, transparent supply chain with high environmental and social standards, localizing value creation here in Europe.”
Production at the JV is scheduled to start in 2025 to supply PowerCo’s Salzgitter factory and reaching an annual capacity of 40 GWh in 2026. Both partners target to grow the JV‘s annual production capacity to 160 GWh by the end of the decade, based on market and demand development. The production site search is still ongoing.
Under the terms of the agreement, both partners will jointly control the JV and will equally share costs, investments, revenues and profits. The JV will give both partners a significant first-mover advantage in the fast-growing e-mobility market in Europe. Together they plan to invest about €3 billion into new materials production capacities.
The partnership will provide Umicore with secured access, through firm take or pay commitments, to an important part of the European demand for EV cathode materials at guaranteed value creative returns. It will provide PowerCo, at a significant scale, secure and cost-competitive access to Umicore’s innovative, sustainably sourced and tailored high-performance battery materials for its unified cell strategy in Europe. It will also allow PowerCo to benefit from Umicore’s proven production capabilities as well as its upstream expertise.
The JV is designed to meet both partners’ profitability and return criteria and will unlock, for each side, significant synergies and economies of scale. Umicore’s IP and know-how will be made available through a license agreement to the JV to ensure its leading technology position.

PowerCo CEO Frank Blome said at the contract signing: "The availability, cost and technical performance of battery cells are key requirements for the successful ramp-up of e-mobility. By building up substantial production capacities, we are securing the rapidly growing demand for battery-grade materials for our main customer Volkswagen AG in terms of volume and at optimal cost." “At the same time, value creation will be localized here in Europe and a sustainable, transparent supply chain with high environmental and social standards will be created," Blome said.
PowerCo Chief Procurement Officer Jörg Teichmann emphasized, "We are consistently entering the holistic value creation of the battery. A supplier industry for preliminary products on the scale required does not yet exist today. We are changing that through our long-term cooperation with Umicore as global market leader for the key materials used in cell production."
